These Terms do not govern professional services delivered by Grids and Guides. Professional services are subject to a separate master services agreement, statement of work, or other written engagement contract executed between Grids and Guides and the client.

3. Use of the Website

10. Governing law and jurisdiction

These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict of laws principles. The courts of Chennai, Tamil Nadu, India shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Website, subject to Section 11.

11. Dispute resolution

Any dispute, controversy, or claim arising out of or relating to these Terms, including their existence, validity, interpretation, performance, breach, or termination, shall first be sought to be resolved amicably by written notice from one party to the other, with a good-faith attempt to resolve within 30 days.

If the dispute is not resolved within 30 days, it shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996 (India), as amended from time to time. The seat of arbitration shall be Chennai, India. The tribunal shall consist of a sole arbitrator appointed by mutual agreement, or failing agreement, in accordance with the rules of the Madras High Court. The language of the arbitration shall be English.

Nothing in this section prevents either party from seeking urgent injunctive or equitable relief before a court of competent jurisdiction.

12. Modifications

We may modify these Terms at any time by posting the revised Terms on the Website with an updated "Last updated" date. Your continued use of the Website after the effective date of the revised Terms constitutes your acceptance of them. If you do not agree, you must stop using the Website.

13. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be replaced with a valid and enforceable provision that most closely reflects the parties' original intent.

14. Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorised representative of Grids and Guides.
