The client is responsible for ongoing costs required for the services or deliverables to function correctly. Grids and Guides will not be held liable for any failures of payment for ongoing costs that may affect the deliverables, and a charge may be incurred for any required fixes or patches.
The client is responsible for populating any content or copywriting for the application or website, including posts, products, and articles.
Grids and Guides Responsibilities The client retains the services of Grids and Guides to design, develop, and host software or website solutions, as listed in the proposal submitted by Grids and Guides and signed on the agreement date.
Changes to this Agreement or any deliverables must be submitted in writing and approved by both parties before taking effect.
The client agrees to notify Grids and Guides of any risks or schedule delays that may affect the delivery dates and presentation of the completed work. The client shall provide Grids and Guides with appropriate space and resources for the presentation of deliverables.
Grids and Guides has the right to outsource work to freelancers or external companies to assist with projects.
Hosting If agreed upon as outlined in the proposal, Grids and Guides will provide hosting services for the client once the software or website has been developed.
Hosting will be on a dedicated platform with a minimum uptime of 99%.
Failure of payment may result in the temporary removal of any applications from the server until payment is received. Grids and Guides will ensure that any necessary databases outlined in the proposal are regularly backed up and provided to the client upon request. SSL certificates will be automatically renewed every 3 months.
Pricing This Agreement shall be invoiced on a time and materials basis as outlined in the proposal. Grids and Guides will deliver and invoice every 30 days for recurring payments, detailing all hours and additional costs for which the client is responsible.
A 50% deposit is required before commencing any work.
Severability If any part of these terms and conditions is found to be invalid, unenforceable, or rendered void, it shall not invalidate or void the remainder of these terms and conditions. The invalid or unenforceable part shall be modified or severed as necessary to make it valid, legal, and enforceable while preserving the parties' intent. If modification or severance is not possible, a valid, legal, and enforceable provision that gives equivalent effect to the parties' intent shall be substituted. The validity of the remaining terms and conditions shall not be affected, even in other jurisdictions.
Assignment You may not assign, sublicense, or transfer any of your rights under these terms and conditions.
